Tokchart API Terms and Conditions

Provider: Tokchart ("Tokchart", "we", "us", "our")
These Terms and Conditions ("Terms") govern access to and use of the Tokchart Application Programming Interface and any data, endpoints, scores, or outputs made available through it (collectively, the "API" and the "Data"). By accessing the API, you agree to these Terms.
1. Definitions
- Data
- Any content returned by the API, including but not limited to trending sound lists, sound identifiers, Tokchart scores and sub-scores (usage, velocity, acceleration, influencer), UGC counts, video and engagement metrics, country-level breakdowns, and any other fields, whether raw or derived.
- Internal Use
- Use of the Data within your own organization to inform your analysis, decisions, strategy, and the recommendations you provide to your customers.
- Redistribution
- Making the Data, or any substantial or systematic portion of it, available to any third party in a form that allows that third party to view, query, retrieve, export, or otherwise access the Data itself (as opposed to your own conclusions derived from it). This includes displaying the Data in a customer-facing dashboard, report feed, product, or interface.
- Derived Insight
- Your own conclusion, recommendation, or interpretation informed by the Data, which does not reproduce the Data itself in any substantial or systematic form.
2. Licence Grant
Subject to these Terms and to timely payment of all fees, Tokchart grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access the API and use the Data for Internal Use only, for the term of your active subscription.
No rights are granted other than those expressly stated here. All rights not expressly granted are reserved by Tokchart.
3. Permitted Use
You may:
- Access the API at the frequency and volume set out in your plan.
- Use the Data internally to power your own analysis, models, and decision-making.
- Use the Data to inform the recommendations, advice, and services you provide to your customers.
- Present Derived Insights to your customers (for example, a recommendation to use a particular sound, or analysis of a trend), provided such Derived Insights do not reproduce the Data itself in substantial or systematic form.
4. Prohibited Use
You may not, without a separate written licence from Tokchart:
- Redistribute the Data, in whole or in part, to any third party, including by displaying it in any customer-facing or third-party-facing dashboard, feed, report, product, interface, or export.
- Resell, sublicense, rent, lease, or otherwise commercialize access to the API or the Data.
- Share, publish, or transfer your API credentials, or permit any third party to access the API under your account.
- Cache, store, or accumulate the Data beyond what is reasonably necessary for your permitted Internal Use, or build a persistent replica or competing database of the Data.
- Reverse-engineer, reconstruct, or approximate the Tokchart scoring methodology, ranking model, or any sub-score, or use the Data to build, train, or improve any product, dataset, model, or service that competes with or substitutes for Tokchart.
- Exceed the request frequency or volume limits of your plan, or take steps to circumvent rate limits or technical access controls.
- Misrepresent the source of the Data or remove, obscure, or alter any attribution where attribution is required.
5. Ownership and Intellectual Property
The Data, the API, the Tokchart scoring methodology, and all related intellectual property are and remain the exclusive property of Tokchart. These Terms grant you a licence to use the Data, not ownership of it. You acquire no right, title, or interest in the Data other than the limited licence in Section 2.
Any Derived Insights you create remain yours, provided their creation and use comply with these Terms and do not embed the Data in substantial or systematic form.
6. Fees and Payment
- Fees, included scope (e.g. global plus included countries), and any add-ons are set out in your plan or order.
- Fees are billed monthly in advance and are non-refundable.
- Tokchart may revise pricing on renewal with reasonable prior notice. Introductory or pilot pricing, where offered, applies only for the stated period and reverts to standard pricing thereafter.
- Access may be suspended for non-payment.
7. Data Source, Availability, and "As-Is" Disclaimer
You acknowledge and agree that:
- The Data is derived in part from third-party sources (including platform data) that are outside Tokchart's control and may change, become unavailable, or be discontinued without notice.
- The API and Data are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.
- Tokchart does not guarantee any level of uptime, availability, latency, accuracy, or continuity, and provides no service-level commitment unless separately agreed in writing.
- Tokchart may modify, suspend, rate-limit, or discontinue the API, any endpoint, or any field at any time.
You are solely responsible for any decisions made in reliance on the Data.
8. Limitation of Liability
To the maximum extent permitted by law:
- Tokchart shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to the API or the Data.
- Tokchart's total aggregate liability arising out of or relating to these Terms shall not exceed the total fees paid by you to Tokchart in the three months immediately preceding the event giving rise to the claim.
9. Indemnity
You agree to indemnify and hold Tokchart harmless from any claim, loss, or liability arising from your use of the Data, your breach of these Terms, or your provision of Derived Insights or services to your customers.
10. Term, Suspension, and Termination
- These Terms apply for as long as you have an active subscription.
- Either party may terminate on 30 days' written notice; Tokchart may suspend or terminate immediately for breach of Sections 4 (Prohibited Use) or 6 (Fees).
- On termination, your licence ends and you must cease all use of the Data and delete any stored Data, except Derived Insights already lawfully created.
- Sections 4, 5, 7, 8, 9, and 11 survive termination.
11. Audit and Enforcement
If Tokchart reasonably suspects Redistribution or other material breach, you agree to provide, on reasonable request, a description of how the Data is being used and accessed. Breach of Section 4 causes harm that may not be adequately remedied by damages, and Tokchart may seek injunctive relief in addition to any other remedy.
12. General
- Non-exclusive
- Nothing in these Terms grants you any exclusivity over the Data or any category of it. Tokchart may offer the same or similar Data to any other party.
- Changes to Terms
- Tokchart may update these Terms with reasonable notice; continued use after the effective date constitutes acceptance.
- Assignment
- You may not assign these Terms without Tokchart's prior written consent.
- Governing law
- These Terms are governed by the laws of the United Kingdom, and the parties submit to the exclusive jurisdiction of its courts.
- Entire agreement
- These Terms, together with your plan or order, constitute the entire agreement and supersede any prior understanding.
